Origins

A long-term foundation.

Entre Rios Villas & Resorts Ltda. was formally founded in April 2001, in the state of Bahia, as a private limited liability company. The corporate structure has reflected, from day one, the founding family's decision to keep the asset under unified ownership and coherent management.

That corporate choice was not neutral. Opting for a single Ltda. — rather than fragmenting the lots across multiple individual titles — meant accepting a shared discipline of governance, the capacity for integrated territorial planning, and joint responsibility before the environment and neighbouring communities. It also meant accepting the complexity that collective management requires.

Twenty-five years on, that choice has proved sound. The territory is today in a better state of conservation than in 2001. Decisions on use and occupation are made on the basis of technical studies, not punctual pressures. And the company's relationship with its surroundings — public authorities, communities, technical partners — has been built upon four lustra of institutional continuity.

The family

Continuity, not replacement.

Entre Rios is first and foremost a family-held company. This is not an incidental detail — it is the starting point that explains every other decision.

Share capital is majority-held by the founding family, under an internal shareholders' agreement that defines rights, duties and protective mechanisms for all partners — including tag-along and drag-along clauses. These clauses exist for one reason only: to ensure that, under any future scenario, no one is left behind, and that the fate of the asset is decided collectively, with shared responsibility.

Throughout 2026, the company's administration is transitioning from the first generation — which founded the company — to the second generation, now adult, professionally trained across a range of disciplines (management, law, engineering, environment, communications) and ready to take the helm of the family project.

This transition is not a change of course. It is a confirmation. The second generation inherits not only the asset, but also the principles that orient it — stewardship, conservation, dialogue, prudence — and the commitment to pass them on to a third generation under conditions no worse than those we received.

Timeline

Milestones along the institutional path.

A public summary of the main milestones of Entre Rios since its founding. We do not aim to be exhaustive — only to record, with sobriety, the trajectory that has brought us here.

2001

Incorporation of the company

Formal incorporation of Entre Rios Villas & Resorts Ltda. with the Commercial Registry of Bahia. Unification of property titles for the contiguous tract on the northern coast under single family management.

2003–2010

First environmental and land studies

Topographic, land-tenure and environmental surveys of the territory. Confirmation of inclusion within the Northern Coast Environmental Protection Area of Bahia. Preliminary identification of the ecosystems present — restingas, mangroves, wetlands, dune systems.

2011–2018

Technical partnerships and forestry management

Establishment of partnerships with specialised operators of national reference for certified forestry on dedicated areas. Beginning of a cycle of audited technical management, with suitable species, long cycles and practices aligned with industry-leading benchmarks.

2019–2023

Sustained community dialogue

Deepening of the direct relationship with the communities of Massarandupió and Subaúma. Regular public meetings, presentation of ongoing plans and studies, and structured support to local initiatives in education, health and environment.

2024–2025

Integrated territorial planning begins

Constitution of a multidisciplinary team to prepare a Master Plan and Environmental Impact Assessment for the coastal strip of approximately 1,800 hectares. Engagement with INEMA (state environmental agency), the municipality of Entre Rios, and academic and scientific specialists.

2026

Generational transition and licensing phase

Throughout 2026, the administrative transition from the first to the second generation of the family is concluded. In parallel, formal preparations advance for the Preliminary Environmental Licence, on a planning horizon extending to 2030. Launch of this institutional communication site as a public commitment to transparency.

2030+

Long-term horizon

Our outlook is measured in decades, not quarters. We continue to plan the territory as a covenant between generations — preserving what is irreplaceable, qualifying what has the capacity for use, and patiently building a model of integration between land, science, community and institutions that may serve as a reference.

Principles

What guides us.

We believe in three simple principles, and we make a point of making them visible:

Stewardship, not ownership. The territory is not ours to do with as we please. It is a common good in ecological and cultural terms, of which we are temporary stewards — with an explicit responsibility to pass it on in better condition than we received it.

Dialogue, not imposition. Any decision about the use of the land must be explained, scrutinised and — when it affects neighbouring communities — discussed in open forum. The social licence to operate matters as much to us as the environmental licence to build.

Time, not haste. Entre Rios' decision-making horizon is generational. We resist pressure for short-term results when it is incompatible with respect for the territory. It is the only honest way to care for a place like this.
